Terms of Service

Effective Date: June 1, 2026  ·  Code Quarry LLC, Lehi, Utah

These Terms of Service (“Terms”) govern your access to and use of the website located at codequarry.ai (the “Site”) and any services, communications, or automated systems provided by Code Quarry LLC, a Utah limited liability company (“Code Quarry,” “we,” “us,” or “our”). By accessing the Site or submitting any form or inquiry, you agree to be bound by these Terms.

Services delivered to paying clients are governed by a separate Master Services Agreement or Statement of Work (“SOW”) executed between Code Quarry and the client. These Terms apply to your general use of the Site and any pre-engagement communications.

1. Acceptance of Terms

By using this Site, you represent that you are at least 18 years of age and have the authority to enter into this agreement on behalf of yourself or the business entity you represent. If you do not agree to these Terms, do not use this Site.

2. Services Overview

Code Quarry provides AI-powered workflow automation consulting and implementation services for businesses. Our services include process audits, automation design, custom build delivery, and ongoing retainer support. Specific deliverables, timelines, fees, and obligations are defined in individual SOWs executed between Code Quarry and each client.

No engagement is created by your use of this Site alone. An active client relationship requires execution of a written SOW or Master Services Agreement.

3. Use of AI Technologies

3.1 AI-Assisted Services

Code Quarry uses artificial intelligence technologies — including large language models, AI-powered workflow engines, and automated analysis tools — in the delivery of its services. These tools are used for tasks including but not limited to process analysis, proposal generation, automation design, client communications, and ongoing workflow operation.

3.2 Limitations and Accuracy

AI systems, by their nature, may produce outputs that are incomplete, inaccurate, or not suited to every circumstance. Code Quarry’s team reviews AI outputs as part of our delivery process and applies professional judgment before presenting recommendations to clients. However, we cannot guarantee that every AI-generated output will be error-free.

Code Quarry shall not be liable for losses, damages, or business outcomes resulting from errors in AI-generated analysis, recommendations, or automated outputs, provided that we have exercised reasonable professional care in the delivery of services. Clients are advised to review and validate all automation outputs before relying on them for material business decisions. Specific AI-related obligations and acknowledgments are addressed further in each client’s SOW.

3.3 Client Data and AI Processing

When you engage Code Quarry as a client, business data you provide — including operational records, communications, and process documentation — may be processed by third-party AI platforms as part of our service delivery. Code Quarry takes reasonable steps to limit data exposure and does not use client data to train AI models. Specific data handling obligations are detailed in each SOW and our Privacy Policy.

4.1 Opt-In Consent

Code Quarry may use text messaging (SMS) as part of client service delivery — including but not limited to project status updates, scheduling notifications, workflow alerts, and operational communications. By opting into SMS communications on this Site, you expressly consent to receive text messages from Code Quarry at the mobile phone number you provide.

SMS opt-in is completely voluntary. Consent to receive SMS messages is not required as a condition of booking a discovery call, submitting an inquiry, using this website, or receiving any services from Code Quarry. You may access and use all of our services without consenting to SMS communications.

Message frequency varies depending on the services you receive and any automations active in your account. Message and data rates may apply depending on your mobile carrier and plan.

4.2 How to Opt Out

You may opt out of SMS communications at any time by replying STOP to any message you receive from us. You may also contact us directly at [email protected] to request removal from SMS communications. After opting out, you will receive one final confirmation message and will not receive further SMS communications except as required to fulfill active service obligations under a signed SOW.

4.3 Help

For assistance with SMS communications, reply HELP to any message you receive or contact us at [email protected].

4.4 Supported Carriers

SMS messaging is available through major U.S. wireless carriers. Carrier support may vary. Code Quarry is not responsible for delays or failures in SMS delivery caused by your carrier or network conditions.

4.5 SMS and Service Delivery

Where SMS communication is incorporated into an automated workflow under a SOW, those communications are operational in nature and not marketing. Client consent for any SMS communication is always obtained voluntarily and separately — SMS is never a mandatory condition of any service engagement. This section governs any SMS opt-in obtained through the Site independently of a signed engagement.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All information is collected solely for the purpose of delivering the SMS program described above.

5. Intellectual Property

5.1 Site Content

All content on this Site — including text, graphics, logos, design elements, and written materials — is owned by Code Quarry LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.

5.2 Client Deliverables

Ownership of automation deliverables, process documentation, and workflow assets built for clients is addressed in each client’s SOW. As a general practice, Code Quarry grants clients ownership of the documented processes and workflow configurations built for them upon full payment of applicable fees.

5.3 Proprietary Methodology

Code Quarry’s audit methodology, delivery processes, and underlying infrastructure configurations represent proprietary trade knowledge. Clients receive the benefit of these systems through engagement but do not receive ownership of the underlying methodology.

6. Confidentiality

Any non-public business information, operational data, or technical details you share with Code Quarry in connection with a prospective or active engagement will be treated as confidential and will not be disclosed to third parties without your consent, except as required to deliver services using third-party platforms (including AI providers), as required by law, or as otherwise addressed in a signed SOW.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Code Quarry LLC, its members, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, loss of data, business interruption, or damage resulting from reliance on AI-generated outputs — arising from your use of the Site or services, even if Code Quarry has been advised of the possibility of such damages.

Code Quarry’s total liability to you for any claim arising under these Terms or related to services delivered prior to the execution of a SOW shall not exceed the greater of (a) $500 or (b) fees actually paid by you to Code Quarry in the 30 days preceding the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.

8. Disclaimer of Warranties

The Site and its content are provided “as is” and “as available” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Code Quarry does not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

9. Third-Party Links and Platforms

This Site may reference or link to third-party tools, platforms, or services. Code Quarry does not control and is not responsible for the content, privacy practices, or availability of third-party resources. Links do not constitute endorsement.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Site shall be resolved in the state or federal courts located in Salt Lake County, Utah. You consent to personal jurisdiction in those courts.

11. Changes to These Terms

Code Quarry reserves the right to modify these Terms at any time. Updated Terms will be posted to the Site with a revised effective date. Your continued use of the Site after the effective date of any changes constitutes your acceptance of the updated Terms.
